Definitions:

In this Agreement the following terms shall, unless the context otherwise requires, have the following meanings:
Agreement means these Supporter Conditions and any document that varies or supplements it;
Benefits means the opportunities set out in the Supporter Prospectus granted by CAA to the Supporter;
CAA means Careers Advisers Association of NSW & ACT Inc ABN 58 877 417 536;
Guidelines means the guidelines supplied by CAA to the Supporter from time to time;
Event means the CAA Annual Conference, to be held 31 October to 1 November 2024;
Supporter means an applicant who is seeking to support the Event;
Sponsorship means the sponsorship offer granted by the Supporter to CAA;
Supporter Fee means the fee set by or agreed with CAA in relation to the Supporter Package;
Supporter Package means the supporter packages offered by CAA in the Supporter Prospectus;
Supporter Prospectus means this document.

1. Grant of sponsorship
(a) Applications to secure Sponsorship at the Event must be made by email to caa@caa.edu.au outlining the Supporter Package the applicant is applying for. The Supporter agrees and acknowledges that any such application is an expression of interest only and that CAA has absolute discretion to accept or reject any such application.
(b) This Agreement commences once CAA has confirmed in writing that the Supporter's Application for Sponsorship at the Event has been approved. This Agreement will terminate at the end of the Event, unless terminated earlier by CAA at its absolute discretion.
(c) The Supporter acknowledges that other persons providers and organisations will be Supporters of, and/or suppliers to, and/ or exhibitors at the Event, and may be granted a right to promote and advertise at the Event or at any event or function associated with CAA.
2. Supporter Fee and payment
(a) The Supporter must pay CAA the Supporter Fee and must provide to CAA a transaction receipt by the due date set by CAA. In the event the Supporter fails to make payment, CAA may terminate this Agreement without notice.
(b) CAA will provide the Benefits at its absolute discretion upon receipt of payment. 
(c) The Supporter acknowledges and agrees that if an Event is cancelled or rescheduled for any reason, the Supporter shall not be relieved of any of its obligations under this Agreement.
3. Supporter obligations
(a) The Supporter must exercise the rights and pursue the opportunities granted under this Agreement in a manner consistent with the good name, goodwill, reputation and image of CAA and the Event and in compliance with all applicable laws, regulations and industry standards, and the guidelines and directions of CAA.
(b) The Supporter must comply with any Guidelines provided by CAA at all times.
(c) The breach of this provision by the Supporter will entitle CAA to terminate this Agreement without notice.
4. CAA's obligations
CAA will use its best endeavours to provide the Benefits.
5. Supporter Packages
(a) CAA may offer several and multiple categories of supporter packages to other supporters and may in its absolute discretion determine the number and category of the
supporter packages in relation to any event.
(b) The exhibition at the Event runs in between workshop sessions throughout the day and CAA does not guarantee the amount of time to be dedicated to the exhibition. Workshop sessions may run over time which may impact on the time allocated for the exhibition.
(c) CAA may at any time and in its absolute discretion amend, vary, substitute, replace, and/or modify the included benefits of each supporter package.
(d) The Supporter expressly agrees to hold CAA harmless in respect of any variation or cancellation of the supporter package.
6. Marketing Materials
(a) The Supporter must follow and adhere to all guidelines set by CAA relating to promotional materials (including all advertising material and media releases) for the Event.
(b) The Supporter must conform to the Guidelines for all promotional material.
7. Assumption of Risk
(a) The Supporter agrees and acknowledges that CAA makes no guarantees, warranties or representations as to the attendance numbers at the Event or as to the benefit that will be obtained by the Supporter by participating in the Event and being a Supporter.
(b) The Supporter expressly releases CAA, its employees, agents, and subcontractors, from any claim of misrepresentation which it has or may have against CAA and indemnifies CAA against any loss or damage -howsoever arising or howsoever caused.
8. Indemnities
(a) The Supporter agrees to indemnify and keep indemnified CAA against any liability, actions, claims, demands, damages, costs and expenses (including legal costs on a full indemnity basis) incurred or suffered by CAA in connection with or arising in any way out of the Sponsorship.
(b) The Supporter agrees that it will continually indemnify CAA against any cost, loss, liability, or damage (whether direct or consequential including loss of profits, loss of
business, loss of goodwill or loss of opportunity) that CAA incurs as a result of the Supporter's use of the Benefits.
9. Exclusion of liability
(a) Notwithstanding any other provision of this Agreement, CAA shall not be liable to the Supporter for indirect, incidental, special, consequential or punitive loss or damages howsoever arising (including in negligence).
(b) Without prejudicing the rights of CAA, the Supporter agrees that CAA’s total aggregate liability for all and any claims relating to this Agreement is limited to the amount paid by the Supporter to CAA.
(c) CAA may terminate this Agreement at its absolute discretion at any time by giving the Supporter seven (7) days' notice in writing.
(d) The Supporter expressly releases CAA from any claims it has or may have in the event this Agreement is terminated by CAA in accordance with this clause.
10. Governing law
This Agreement will be governed by the laws of New South Wales, and the parties irrevocably submit to the non-exclusive jurisdiction of the courts in that State.
11. Entire agreement
This Agreement constitutes the entire agreement between the parties in respect of the Sponsorship, and supersedes all prior agreements, representations, negotiations and correspondence.
